Inspired Taste Inc. Terms of Use

These Terms of Use (“Terms”) are a legal agreement between you and Inspired Taste Inc., a Washington corporation, and its affiliated companies (collectively, “Inspired Taste”) that governs your access to and use of websites and applications owned or operated by Inspired Taste (including https://www.inspiredtaste.net) and certain services provided through those websites and  applications (those websites, applications, and services, including all Content (as defined below) therein are referred to collectively as the “Site”). Please read these Terms carefully. Any undefined terms have the meanings given in the Privacy Notice. If you have any questions about these Terms, please contact us at admin@inspiredtaste.net.

1. Acceptance. By accessing, browsing, or using our Site, you agree to be bound by these Terms. You can accept the Terms by clicking to accept or agree where this option is made available to you in any agreement, electronic form, or user interface for any service we offer, or by accessing, browsing, or using the Site. If you are accessing the Site or Services on behalf of a company, organization, or other entity, you represent and agree that you are authorized to act on behalf of such entity and to bind it to these Terms. These Terms will remain in effect while you use the Site or Services. If you do not accept these Terms, you may not use the Site or our Services and must stop using them immediately.

2. Eligibility. You represent and warrant that you are a natural person (i.e., a human being) who is at least 16 years of age or the age of legal majority in your jurisdiction, whichever is higher. You represent and warrant that you are not a bot, automated script, artificial agent, or other non-human user. If you are under 16, you may not use or access the Site. If Inspired Taste discovers or has reason to suspect that you are under 16 years of age or that you are not a natural person, Inspired Taste may suspend or terminate your access to the Site immediately without notice.

3. Termination. Inspired Taste may terminate your access to the Site, your Account, or any Content at any time, with or without notice to you. Any violation of these Terms, including any unauthorized access (whether automated or not) or use of Content for unauthorized purposes, is grounds for immediate termination without notice. If you violate these Terms and/or your access is terminated and you continue to use the Site, Inspired Taste will pursue all available remedies against you, including those described in Section 10. You may stop using our Services at any time. However, Inspired Taste will not issue refunds for any prepaid fees. Inspired Taste may suspend or terminate the Site at any time with or without prior notice. Any provisions of these Terms that are intended by their nature to survive termination shall remain in effect after termination.

4. Consent to Do Business Electronically. By accessing our Site, registering with Inspired Taste, or typing your name into any of our electronic forms and clicking “accept” or “submit”, you consent to (a) Inspired Taste communicating with you electronically; (b) receiving all applications, notices, disclosures and authorizations (collectively, “Records”) from Inspired Taste electronically; and (c) entering into agreements and transactions using electronic Records and signatures. Federal law treats electronic signatures as having the same legal effect as signing on paper, and online contracts have the same legal force as an equivalent paper contract. Inspired Taste will use electronic documents for all communications, agreements, disclosures, authorizations and other documents necessary to provide you with the Site or Services. To do business with us electronically, you need a computer or other web-enabled device, an internet connection, an active email account, and the ability to read PDF files (such as Adobe® Acrobat® Reader). You agree to keep your own copies of Records. You may print or download Records from the Site. If you wish to receive Records in paper format or to withdraw your consent to receiving electronic Records from us, please contact us at admin@inspiredtaste.net. Agreements and transactions executed prior to your withdrawal will remain valid and enforceable.

5. Communications from Inspired Taste. We may use your contact information to communicate with you about your use of our Site or Services. For example, we may send you service announcements or administrative messages by email, phone, mail or other means. You receive these communications as part of your use of the Site or Services.

6. Proprietary Rights. Inspired Taste is a registered trademark of Inspired Taste Inc. Other logos, trademarks, services marks, or company names mentioned on the Site are the property of their respective owners. All recipes, instructions, images, illustrations, designs, photographs, video clips, text, icons, research, insights, portfolios, reports, written information and other materials that appear on the Site and all other applications developed for products or services offered by Inspired Taste (collectively, the “Content”) were created, developed, compiled, prepared, revised, selected, and arranged by Inspired Taste through substantial time and effort, and are subject to copyright, trademark, service mark, trade dress, database rights, and other intellectual property rights or licenses held by Inspired Taste. Downloading materials does not transfer any ownership rights to you. Inspired Taste and its affiliates and licensors retain all ownership and intellectual property rights in all Content from this Site, regardless of where or how it is accessed or stored. All intellectual property rights that are not expressly granted herein are reserved by Inspired Taste. Any use of the Content not expressly permitted by these Terms is subject to the restrictions, prohibitions, and remedies set forth in these Terms.

7. Permitted and Prohibited Uses of Content. Accessing the Site does not give you the right to use any Content, trademarks, service marks, trade dress, database material, or copyrighted material in any manner. We only grant you permission to display, download, and print Content in hard copy for your personal, non-commercial use. Any use not expressly permitted by these Terms requires Inspired Taste’s prior written permission. You may not copy, reproduce, distribute, republish, download, display, post electronically or mechanically, transmit, record, mirror, or photocopy any of the Content without the prior written permission from Inspired Taste or the applicable owner. Specifically, you may not:

• Modify copies of any Content;
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text;
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of Content; or
• Access or use any part of the Content or any services or materials available through the Site for purposes other than those permitted by these Terms;
• Use any Content as training data, input, or source material for any artificial intelligence, machine learning, or natural language processing system, model, or algorithm, including large language models, generative AI systems, text-mining tools, or any similar technology, whether for commercial or non-commercial purposes; 
• Compile, aggregate, or create datasets or databases from any Content for distribution to, or use by, any third party;
• Use the Site or any Content to develop, train, fine-tune, or otherwise improve any artificial intelligence, machine learning, or automated system, or to create any product or service that competes with the Site or Content;
• Use Content for any purpose not stated in these Terms, including in any way that might create confusion, such as implying Inspired Taste’s endorsement, sponsorship, or affiliation; or
• Use Content in a manner that disparages Inspired Taste, its Content, services, reputation, or brand.

Inspired Taste may grant third parties the right to link another website to the Site through a URL linking mechanism supplied by Inspired Taste.  Any request for such right must be made to Inspired Taste in writing, and any changes to the linking mechanism must be approved by Inspired Taste in writing prior to implementation. Any other use of the Content on this Site, including reproduction for purposes other than those granted to you, without the prior written permission of Inspired Taste, is strictly prohibited. Prohibited automated access to the Site and Content is addressed in Section 9 below.

The permissions in these Terms will terminate automatically if you breach any of these Terms. Upon termination, you must immediately cease all use of the Content and destroy all copies from this Site regardless of format or medium. Remedies for any breach of these Terms are addressed in Section 10 below.

8. User Generated Content. Site visitors may publish, transmit, submit or otherwise post comments, photos, or other materials on the Site, including information, content, graphics, text, images, software, sound files, video, communications, documents, or other materials (“User Generated Content”). You must provide Inspired Taste with a valid email address to publish User Generated Content. Inspired Taste does not control and is not responsible for any User Generated Content. User Generated Content must not:

• Contain any material that is false, defamatory, libelous, obscene, harassing, threatening, discriminatory, bigoted, hateful, violent, vulgar, profane, pornographic or otherwise offensive, inappropriate, damaging, unlawful, disruptive or harmful;
• Violate Inspired Taste’s or any other person’s or entity’s legal rights;
• Contain any material that could give rise to civil or criminal liability, or promote, advocate or assist any illegal activity;
• Create or threaten harm to any person or loss or damage to property;
• Include others’ Personal Information or any other information that may be used to track, contact, or impersonate that individual;
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights, or violate any contract regarding such rights;
• Seek to harm or exploit children by exposing them to inappropriate content, asking for Personal Information or otherwise;
• Misrepresent your identity or affiliation with any person or organization;
• Seek to collect others’ email addresses, usernames, or passwords by any means;
• Seek to transmit chain letters, bulk or junk email, or interfere with, disrupt or create an undue burden on Inspired Taste or networks connected to the Site, or install or attempt to install spyware, malware or other harmful code on our computers or those of third parties;
• Relate to commercial activities such as contests, sweepstakes, other sales promotions, barter, advertising or offers to buy or sell goods and services; or
• Be otherwise objectionable as determined by Inspired Taste in its sole discretion

You acknowledge and agree that all User Generated Content you submit (“Your Content”) is submitted voluntarily and is not confidential or proprietary. You grant Inspired Taste a worldwide, royalty-free, transferable, sublicensable, non-exclusive, perpetual, irrevocable license to use, copy, modify, adapt, create derivative works from, publicly perform or display, transmit, distribute, license, publish, translate, and sell Your Content, and to publish your name and other information about you in connection with Your Content. In plain terms, this means Inspired Taste can use Your Content in any way, without paying you, forever. Inspired Taste may, but is not required to, post, moderate or modify User Generated Content and may, in its discretion, edit, block, refuse to post, or remove any User Generated Content (including Your Content) at any time. You represent and warrant that you have the rights necessary to grant this license and that Your Content does not infringe the rights of any third party or violate any agreement or applicable law. You are solely responsible for Your Content and any other User Generated Content you provide or make available through the Site.

9. Site Security and Access Restrictions.

9.1. Site Security. The Site and Content are protected by technical and organizational security measures designed to prevent and detect unauthorized access. You are strictly prohibited from violating or attempting to violate the security features of the Site by any means, including:

1. Accessing data not intended for you or logging onto a server or an account which you are not authorized to access;
2. Attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures unless Inspired Taste expressly authorizes you to do so in writing
3. Attempting to interfere with service to any user, host or network, such as by submitting a virus, overloading, “flooding,” “spamming,” “mail bombing” or “crashing”; or
4. Sending unsolicited email, including promotions or advertising, or forging any TCP/IP packet header or any part of the header information in any email or newsgroup posting.

9.2. Prohibited Automated Access. You are strictly prohibited from using automated means to access the Site or Content, including:

1. Using any robot, spider, scraper, web crawler, data extraction tool, automated script, or other automated means, or any similar manual process, to access, monitor, copy, index, harvest, or collect any Content or data from the Site; or
2. Circumventing, disabling, bypassing, or interfering with any security-related or access-control features of the Site, including measures implemented to prevent automated access or scraping.

You agree not to use any device, software or routine to interfere with the proper functioning of this Site or any activity on this Site. You agree not to use any engine, software, tool, agent or other device or mechanism (including browsers, spiders, robots, avatars or intelligent agents) to navigate or search the Site other than the search engine and search agents we make available on this Site and generally available third-party web browsers.

10. Remedies. Any violation or attempted violation of these Terms, including unauthorized access to, scraping of, or other misuse of the Site or Content, may result in one or more of the following, and Inspired Taste reserves all rights and remedies available under law and equity:

1. A breach of contract claim, entitling Inspired Taste to damages, specific performance, injunctive relief, and any other remedies available under applicable law;
2. Copyright infringement under the Copyright Act (17 U.S.C. § 101 et seq.), including statutory damages up to $150,000 per work for willful infringement;
3. Trademark infringement, dilution, or unfair competition under the Lanham Act (15 U.S.C. § 1051 et seq.) and applicable state law;
4. A violation of the Computer Fraud and Abuse Act (18 U.S.C. § 1030), which may result in civil liability including compensatory damages, injunctive relief, and other equitable relief, as well as criminal penalties including fines and imprisonment;
5. A violation of state computer crime, data protection, and consumer protection statutes, including the Washington Computer Spyware Act (RCW 19.270) and the Washington Consumer Protection Act (RCW 19.86); and
6. Tortious interference, misappropriation, unjust enrichment, or trespass to chattels under applicable common law.

If you violate our system or network security, you may face civil or criminal liability. Inspired Taste will investigate all suspected violations and may cooperate with law enforcement authorities in prosecuting users involved in such violations. Inspired Taste may disable your Account and corresponding username, password, or other identifier at any time, in its sole discretion, if Inspired Taste believes you have violated any provision of these Terms. These remedies are cumulative and not exclusive, and Inspired Taste’s pursuit of any remedy does not waive any other remedy. Inspired Taste may seek injunctive or other equitable relief without proving actual damages or posting a bond.

11. Privacy Notice. These Terms incorporate our Privacy Notice, which explains how we, our vendors, and our service providers collect and use data when you use the Site or mobile applications.  By using the Site, you consent to the collection and use of data by us, our vendors, and our service providers as described in the Privacy Notice.

12. Support and Availability. Inspired Taste aims to provide the Site in accordance with these Terms but is under no obligation to provide support for the Site, Content, your Account, or User Generated Content. Inspired Taste does not guarantee that the Site, Content, your Account, or User Generated Content will be available, and your access is permitted only when they are available. The Site may be unavailable for upgrades, maintenance, or other reasons. To request support, please contact us at admin@inspiredtaste.net.

13. Changes to These Terms. Inspired Taste may change these Terms at any time. Inspired Taste will notice you by making the updated Terms available on the Site, sending you an e-mail, or other reasonable means. The updated Terms will be binding on you as of the effective date indicated in the updated Terms. If you do not agree to the updated Terms, you must terminate your Account and stop using the Site and Content. Your continued use of the Site after the effective date constitutes your acceptance of the updated Terms.

14. Third-Party Websites and Links. The Site and Content may contain links or references to third-party websites (“Linked Sites”). Inspired Taste does not endorse or sponsor any Linked Sites or the information, products, or services on Linked Sites. Inspired Taste is not responsible for or in control of any Linked Sites or their content. Linked Sites are governed by their own terms of use and privacy policies.

15. Third-Party Products and Services. You may need to use or obtain other products or services to use the Site or Content, such as internet access, a device, or a data connection. You must obtain all third-party products and services separately and pay all associated charges. Inspired Taste does not endorse or sponsor any third-party products or services and is not responsible for any third-party products or services.

16. DISCLAIMER OF WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND CONTENT ARE PROVIDED “AS IS,” “WITH ALL FAULTS” AND “AS AVAILABLE.” THE ENTIRE RISK OF USE AND PERFORMANCE REMAINS WITH YOU. INSPIRED TASTE AND ITS SUPPLIERS AND LICENSORS DO NOT MAKE ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, AND DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT. IN PARTICULAR, INSPIRED TASTE, ITS AFFILIATES, SUPPLIERS, AND LICENSORS MAKE NO WARRANTY: (A) THAT THE SITE, CONTENT, OR USER GENERATED CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; (B) THAT ANY INFORMATION OR CONTENT OBTAINED THROUGH THE SITE WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR (C) THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED. CONTENT YOU DOWNLOAD OR OBTAIN THROUGH THE SITE IS ACCESSED AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE OR LOSS THAT RESULTS.

17. Disclaimer of Certain Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSPIRED TASTE, ITS SUPPLIERS, OR LICENSORS WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, OR PUNITIVE DAMAGES; LOSS OF PROFITS, BUSINESS, GOODWILL, ANTICIPATED SAVINGS, OR USE; LOSS OR CORRUPTION OF DATA, CONFIDENTIAL INFORMATION, OR OTHER INFORMATION; BUSINESS INTERRUPTION; PERSONAL INJURY; PROPERTY DAMAGE; LOSS OF PRIVACY; FAILURE TO MEET ANY DUTY OF GOOD FAITH OR REASONABLE CARE; NEGLIGENCE; OR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER, ARISING OUT OF, RESULTING FROM, OR RELATED TO THESE TERMS, THE SITE, CONTENT, OR USER GENERATED CONTENT, EVEN IF INSPIRED TASTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18. Limitation of Liability and Exclusive Remedy. TO THE MAXIMUM EXTENT PERMITTED BY LAW AND TO THE EXTENT NOT DISCLAIMED ELSEWHERE IN THESE TERMS, INSPIRED TASTE’S, ITS SUPPLIERS’, AND LICENSORS’ MAXIMUM AGGREGATE LIABILITY TO YOU, AND YOUR EXCLUSIVE REMEDY UNDER THESE TERMS FOR ANY AND ALL DAMAGES, INJURIES, AND LOSSES ARISING FROM ANY AND ALL CLAIMS AND CAUSES OF ACTION ARISING OUT OF, RESULTING FROM, OR RELATED TO THESE TERMS, THE SITE, CONTENT, OR USER GENERATED CONTENT, WILL BE LIMITED TO YOUR ACTUAL DAMAGES UP TO U.S. $100.00. MULTIPLE CLAIMS OR SUITS RELATED TO THESE TERMS, THE SITE, CONTENT, OR USER GENERATED CONTENT WILL NOT EXTEND THIS LIMIT.

19. Independent Remedies. The Disclaimer of Certain Damages (Section 17) is independent of the Exclusive Remedy (Section 18), and it survives even if the Exclusive Remedy fails its essential purpose or is deemed unenforceable. The Remedies provision (Section 10) is independent of and in addition to the limitations of liability and exclusive remedy provisions in Sections 16, 17, and 18, and Inspired Taste’s reservation of remedies is not limited by any damages cap or limitation of liability in these Terms. Each of these limitations of liability applies whether the loss, liability, or damage arises from (a) breach of contract, (b) breach of warranty, (c) fault or tort, including negligence and misrepresentation, (d) strict liability, or (e) any other cause of action, to the extent such limitations are not prohibited by law.

20. Notice on Potential Limits in Certain Jurisdictions. Some jurisdictions do not allow the exclusion or limitation of liability for intentional acts (including fraud, fraudulent misrepresentation, and failure to disclose defects), product liability, or death or personal injury. Nothing in these Terms is intended to exclude liability that cannot legally be excluded under law. If you reside or are otherwise subject to the laws in one of those jurisdictions any statutory entitlement available to you will be limited to the extent permissible under that law and, if limitation is not permitted, the limitations and exclusions above may not apply to you.

21. Indemnification. You agree to defend, indemnify, and hold Inspired Taste and its directors, officers, employees, agents, members, partners, suppliers, and licensors harmless from any third-party claim or demand, including reasonable attorneys’ fees, relating to or arising from: (a) your User Generated Content or your use of the Site; (b) any violation by you of these Terms; (c) your violation of another party’s rights or applicable law; (d) any unauthorized automated access to, scraping of, or data harvesting from the Site; (e) any use of Content for artificial intelligence, machine learning, or similar systems in violation of these Terms; or (f) any violation of the Computer Fraud and Abuse Act (18 U.S.C. § 1030) or similar federal or state laws. Inspired Taste may assume, at its sole expense, the exclusive defense and control of any matter subject to indemnification by you, in which case you will fully cooperate with Inspired Taste in asserting any available defenses.

22. Class Action Waiver. You waive any right to commence or participate in any class action lawsuit against Inspired Taste relating to any claim, dispute or controversy.

23. Geographic Restrictions. Inspired Taste controls and operates the Site from its offices in the United States. You may not be able to access all or some of the Site or Services outside of the United States. If you access the Site or Services from outside the United States or another location, you do so at your own risk and are responsible for complying with applicable local laws.

24. Governing Law and Venue. These Terms will be governed by and construed in accordance with the laws of the State of Washington without regard to its conflict of laws provisions. You agree to submit to the exclusive jurisdiction and venue in the state and federal courts located in Seattle, Washington for any and all disputes, claims, and actions arising from or in connection with the Site or these Terms. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

25. General. Sections titles are for convenience and have no legal significance. Any list of examples following “including” or “e.g.,” is illustrative and not exhaustive, unless qualified by terms like “only” or “solely.” Inspired Taste’s failure to act on a breach by you or others does not waive its right to act on subsequent or similar breaches. A waiver will only be binding on Inspired Taste if it is a written waiver signed by Inspired Taste. If any provision of these Terms is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions will remain in full force and effect. You and Inspired Taste intend the provisions of these Terms to be enforced to the fullest extent permitted by law. If any provision is deemed unenforceable, it will be modified to the extent necessary to make it enforceable or deleted if modification is not possible. Inspired Taste may assign its rights and obligations under these Terms, in whole or in part, at any time without notice to you, and these Terms will bind and benefit Inspired Taste’s successors and assigns. You may not assign or transfer your rights under these Terms. These Terms (including any incorporated terms) constitute the entire agreement between you and Inspired Taste regarding the Site. By entering into these Terms, neither Inspired Taste nor you has relied on any statement, representation, warranty, or assurance other than those expressly stated in these Terms. No one other than you and Inspired Taste or Inspired Taste’s successors and assigns will have any right to enforce these Terms.

26. Contact. Inspired Taste will send required notices (including legal process) by lawful means, including by making notice available on the Site or by sending it to any e-mail or mailing address you provide. If you do not provide current and accurate contact information, Inspired Taste may not be able to contact you. Send notice to Inspired Taste by email to admin@inspiredtaste.net.
